Terms & Conditions

1. Acceptance of Terms

By accessing and using the Nodulio SpA platform available at nodulio.com, you agree to be bound by these Terms and Conditions, as well as our Privacy Policy and Cookie Policy. If you do not agree with any provision, we ask that you refrain from using our services.

These terms constitute a legally binding agreement between you and Nodulio SpA, with Tax ID (RUT) 77.543.210-K, a corporation established and operating under the laws of the Republic of Chile.

2. Service Description

Nodulio operates a digital real estate crowdlending platform that allows multiple investors to collectively participate in construction and urban development projects in Chile. The platform acts as a technology intermediary facilitating the connection between investors and real estate projects.

The services available on the website include the presentation of projects, information about the real estate crowdlending model, and a direct contact channel with our team.

3. Participation Requirements

To participate as an investor in projects listed on Nodulio, you must be over 18 years of age, have legal capacity to contract in Chile, and provide truthful and up-to-date personal information as required by the platform and current regulations.

Nodulio reserves the right to request additional documentation to verify your identity and comply with anti-money laundering regulations under Law 19,913 and its amendments.

4. Investment Nature and Risks

Investments made through Nodulio do not constitute bank deposits and are not covered by the state deposit guarantee. All investment in real estate projects carries inherent risks, including the possibility of partial or total loss of invested capital.

Nodulio does not guarantee the profitability of any project. Return projections are estimates based on market analysis and do not constitute promises of results. The investor is responsible for evaluating risks and making informed decisions.

5. User Obligations

The user agrees to provide truthful and up-to-date information, not to use the platform for illegal purposes, not to attempt to access restricted areas of the system, and to respect the intellectual property of Nodulio and third parties.

The use of bots, scrapers, or any automated tool to extract information from the platform without express written authorization from Nodulio SpA is prohibited.

6. Intellectual Property

All platform content, including texts, designs, logos, images, source code, and databases, is the property of Nodulio SpA or its licensors and is protected by intellectual and industrial property laws in force in Chile.

The reproduction, distribution, transformation, or public communication of any element of the site without prior written authorization from Nodulio SpA is prohibited.

7. Limitation of Liability

Nodulio SpA shall not be liable for indirect, incidental, or consequential damages arising from the use of the platform. Nodulio's total liability to the user shall be limited to the amount actually invested in the specific project that is the subject of the claim.

Nodulio is not responsible for temporary service interruptions due to maintenance, technical updates, force majeure, or causes beyond its control.

8. Applicable Law and Dispute Resolution

These Terms and Conditions are governed by the laws of the Republic of Chile. Any dispute arising from the interpretation or fulfillment of these terms shall be submitted to the jurisdiction of the Ordinary Courts of Justice of Santiago, Chile.

Before resorting to legal proceedings, the parties commit to attempting to resolve any difference in good faith through direct negotiation for a minimum period of thirty days from formal notification of the conflict. For legal inquiries, you may write to legal@nodulio.com.
